Texas Incorporation and LLC Information and What is Included:

Once A1A Corporate Services receives the completed Corporation or LLC Order Form, a representative will contact you to confirm your order. A1A Corporate Services will then do a name check in your state of Incorporation to see if it is available. A1A Corporate Services makes no guarantees as to the availablity of any name. Also A1A Corporate Services can not guarantee whether or not your corporate name infringes on the rights of someone else. After your order is received, A1A Corporate Services will then prepare the necessary documents to be filed and processed with the state of your choice. After we receive these documents back from the state, your business will at that point be "Incorporated". A1A Corporate Services will then process the rest of your Corporate or LLC documents and forward them to you via US Priority Mail or Fedex depending on the level of service chosen.

Prepare Form for Federal Employer Tax ID Number $25 - When you receive your Corporate Kit from A1A Corporate Services, you can choose to have the IRS Form SS-4 completed. This paperwork is then faxed into the IRS Service Center and they fax back to you an Employer Identification Number. The processing time with the IRS varies from 1-8 days.

Prepare Election to S Status (Sub Chapter-S) $25 - We can prepare your election to S Corp - Status. This allows a company to pass income to the shareholders without being taxed twice. This S-Corp election is prepared and signed by the shareholders of the company and sent to the IRS for acceptance.

Director and Officer Protection Article $25 - An additional Article added to the Articles of Incorporation providing for mandatory indemnification for directors and officers, including advancement of litigation expenses, and limiting monetary liability to the corporation and its stockholders for acts or omissions by directors.

Member and Manager Protection Article $25 - An additional Article added to the Articles of Organization providing for mandatory indemnification for members and managers, including advancement of litigation expenses, and limiting monetary liability to the Limited Liability Company and its members for acts or omissions by members and managers.

Expedited Fax Filing Service $40 - Your articles of incorporation are prepared and filed the same day. This service is available for Limited Liability Companies also for $40.

Name of the Business:The name of the corporation shall contain the word "Company", "Corporation", "Incorporated", "Co.", "Corp.", or "Inc." The name of the company can not imply that it is doing another type of business not stated in the Articles of Incorporation. The name of LLC shall contain "LLC" or Limited Liability Company".

Corporate Stock Information:

We will form your corporation with 1000 shares of common stock. Additional fees may apply for authorizing additional shares of stock.
